Terms and Conditions

These Terms and Conditions (the "Terms") constitute a binding legal agreement between you and Rise Assets Global Limited (trading as Assetbase), and govern your access to and use of the Assetbase platform, including the website and the Assetbase mobile application. Please read these Terms carefully before creating an Account or using the Platform. By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms.

1. Definitions and Interpretation

1.1 In these Terms, unless the context otherwise requires, the following expressions shall have the meanings assigned to them below:
  • “Account” means a user account created and maintained on the Platform, including any associated personal wallet used to load, hold, or transfer funds.
  • “Applicable Law” means all laws, statutes, regulations, rules, guidelines, circulars, directives, and regulatory instruments applicable in Nigeria, including without limitation the Investments and Securities Act, Securities and Exchange Commission Rules and Regulations, the Nigeria Data Protection Act, the Federal Competition and Consumer Protection Act, Anti-Money Laundering laws, and any amendments thereto.
  • “Asset Tokens” or “Tokens” means blockchain-based digital tokens representing contractual, economic, or beneficial interests in, or exposure to, one or more underlying real-world assets, as further described in the relevant Offering Documentation.
  • “Assetbase”, “we”, “us”, or “our” means Rise Assets Global Limited, a company incorporated under the laws of the Federal Republic of Nigeria, trading as Assetbase.
  • “Client Information” means the personal and identification information provided by a User upon registration or thereafter, including without limitation name, telephone number, residential address, email address, and Bank Verification Number (BVN).
  • “Content” means all information made available on or through the Platform, including without limitation account positions, balances, transactions, confirmations, order history, news, commentary, educational material, market data, simulation calculators, account management tools, trademarks and logos, and any third-party content distributed via the Platform.
  • “Electronic Access Device” means any personal computer, telephone, mobile phone, smartphone, tablet, personal digital assistant, or other electronic device (including wireless devices) used to access the Platform.
  • “Fees” means the amounts payable by a User in connection with transactions or services on the Platform, as disclosed from time to time and displayed prior to the commitment of a transaction where applicable.
  • “Insufficient Funds” means a state in which the funds available in a User's payment source or Account are inadequate to complete a requested transaction.
  • “Investment Product” means any investment instrument or product made available on the Platform, including without limitation Treasury Bills, FGN Bonds, Fixed Deposits, equities, Asset Tokens, and any other product approved for distribution via the Platform from time to time.
  • “Offering Documentation” means any information memorandum, term sheet, risk disclosure, token terms, smart contract terms, or supplemental documentation relating to a specific Token or Investment Product offering.
  • “PIN” means the confidential Personal Identification Number selected by a User to identify themselves and to confirm transactions through the Platform.
  • “Platform” means the Assetbase proprietary digital platform made available via web, mobile application, or other interfaces.
  • “Prohibited Use” means any use of the Platform set out in Clause 15 or otherwise inconsistent with these Terms or Applicable Law.
  • “Third-Party Provider” means any third party whose services, content, or infrastructure are made available, integrated, or accessible through the Platform, including payment processors, custodians, blockchain infrastructure providers, identity verification services, analytics providers, and financial partners.
  • “Underlying Asset” means any tangible or intangible real-world asset referenced, economically linked to, or forming the basis of an Asset Token.
  • “User”, “you”, or “your” means any individual or legal entity that accesses, registers for, or uses the Platform, and includes such person's heirs, assigns, and successors; where the Platform is used on behalf of an entity, references to “you” or “your” shall mean that entity and its affiliates, directors, officers, employees, and agents.
  • “Wallet” means a digital wallet (whether user-controlled or custodial) used to store, hold, or transfer Tokens, fiat balances, or other supported digital assets in connection with the Platform.
1.2 Headings are inserted for convenience only and shall not affect interpretation.
1.3 Words importing the singular include the plural and vice versa, and words importing any gender include all genders.
1.4 References to a statute or regulation include references to that statute or regulation as amended, re-enacted, or replaced from time to time.

2. Company Information and Platform Description

2.1 The Platform is owned and operated by Rise Assets Global Limited, a private company limited by shares incorporated under the laws of the Federal Republic of Nigeria with RC number 6896730 and registered office at 358 Herbert Macaulay Way, Yaba, Lagos.
2.2 Assetbase provides a technology-enabled platform designed to facilitate (a) the structuring, issuance, distribution, and lifecycle administration of tokenised representations of real-world assets, and (b) access to a range of other investment products distributed by Assetbase or its financial partners, including but not limited to Treasury Bills, FGN Bonds, Fixed Deposits, and equities.
2.3 Assetbase operates strictly as a technology platform and transaction facilitator. Assetbase does not, unless expressly stated in writing and subject to applicable regulatory authorisations: (a) provide investment advisory services; (b) act as a fund manager, portfolio manager, broker-dealer, issuing house, trustee, or custodian; or (c) operate a collective investment scheme.
2.4 Neither Rise Assets Global Limited nor Assetbase is the issuer of any third-party Investment Product distributed through the Platform; the Platform serves as the means through which Users may access such Investment Products, which are issued, structured, or executed by third-party issuers or Assetbase's financial partners.
2.5 All Assetbase logos, branding, designs, and other works in which intellectual property rights subsist remain the exclusive intellectual property of Rise Assets Global Limited, and all rights in those works shall remain vested in Rise Assets Global Limited.

3. Acceptance and Scope of Terms

3.1 These Terms, together with any documents expressly incorporated by reference (including without limitation the Privacy Policy, Fees and Charges Schedule, and any Offering Documentation), govern your access to and use of the Platform.
3.2 By creating an Account, accessing, downloading, or using the Platform, you indicate your acceptance of these Terms on your own behalf and, where applicable, on behalf of any entity you represent. If you do not agree with these Terms (or any updated version), you must discontinue use of the Platform immediately.
3.3 Your use of the Platform is governed by the version of these Terms in effect on the date the Platform is accessed by you. You are responsible for reviewing the most current version of these Terms from time to time by visiting the Platform.
3.4 These Terms constitute a binding contract under Nigerian contract law principles.

4. Eligibility and User Representations

4.1 You represent, warrant, and undertake that:
  1. you are at least 18 years of age and legally competent to enter into a binding contract;
  2. you have full authority to enter into these Terms, including, where you act on behalf of an entity, the authority to bind that entity;
  3. your access to and use of the Platform complies with all Applicable Laws;
  4. you are not subject to any legal, regulatory, or contractual restriction that would prohibit your participation on the Platform;
  5. all Client Information and other information provided by you is true, accurate, current, and complete, and will be kept up to date;
  6. your acceptance and use of the Platform does not violate any law, contract, or other obligation to which you are subject; and
  7. any content uploaded or transmitted by you through the Platform does not infringe any intellectual property right, right of privacy, right of publicity, or other proprietary right of any person.
4.2 Assetbase reserves the right to restrict or deny access to any User or jurisdiction in its sole discretion.

5. Account Registration, Verification, and KYC

5.1 Certain Platform features require Account registration. To register, you must provide Client Information, including but not limited to your name, telephone number, residential address, email address, and Bank Verification Number (BVN), and select a password and PIN.
5.2 Users shall undergo identity verification and know-your-customer (KYC), know-your-business (KYB), anti-money laundering (AML), and counter-terrorism financing checks as required under Applicable Law. Assetbase may rely on Third-Party Providers to conduct such verification checks.
5.3 In connection with your Account, you agree that:
  1. you will not use a username or email address that is already in use, that infringes the rights of any person, or that is offensive;
  2. you are solely responsible for all activities that occur under your Account, password, PIN, and username;
  3. you will maintain the confidentiality of your password, PIN, and identification question, ensure they are not easily guessed, and restrict access to any Electronic Access Device used to access the Platform;
  4. you will immediately notify Assetbase upon becoming aware of any unauthorised use, compromise, or any unusual, suspicious, or fraudulent activity in relation to your Account, password, PIN, or identification question; and
  5. you will not sell, transfer, or assign your Account or any rights associated with your Account.
5.4 If any information you provide is, or Assetbase reasonably suspects to be, false, inaccurate, outdated, incomplete, or in violation of these Terms or Applicable Law, Assetbase may suspend or terminate your Account, in addition to any other remedies available at law. Assetbase may also require you to make available, upon request, up-to-date identification and additional information to ensure your Account information remains accurate.
5.5 Assetbase reserves a general and broad right to terminate, suspend, or otherwise restrict access to any Account, in its sole discretion, for any reason and with or without notice, where permitted by Applicable Law, and shall not be liable to the User for such action.

6. Means of Access

6.1 The website element of the Platform is generally intended to be viewed using a conventional web browser. The mobile application may be accessed using devices running supported Android or iOS operating systems.
6.2 Although you may use other means to access the Platform, the Platform may not display accurately through such alternative methods. You use any Electronic Access Device and access the Platform entirely at your own risk.
6.3 You are responsible for ensuring that any Electronic Access Device used to access the Platform is compatible, secure, and updated, and that the latest version of any Assetbase mobile application is installed, as updates often include important security improvements or fixes for newly discovered vulnerabilities.

7. Regulatory Status and Compliance Context

7.1 Assetbase seeks to operate in alignment with Nigerian capital market and digital asset regulatory frameworks, including the rules made by the Securities and Exchange Commission on digital assets and Virtual Asset Service Providers, as may be amended from time to time.
7.2 Any regulatory licence, approval, exemption, or sandbox participation held by Assetbase shall be disclosed as applicable under the Investments and Securities Act 2025.
7.3 Users acknowledge that the regulatory classification and treatment of Tokens and other Investment Products may evolve over time, and that regulatory action may affect Platform operations, Token functionality, or the availability of any Investment Product.

8. Nature of Investment Products and Tokenised Assets

8.1 The Platform makes available a range of Investment Products, which may include tokenised representations of real-world assets, Treasury Bills, FGN Bonds, Fixed Deposits, equities, and such other products as may be offered from time to time.
8.2 Asset Tokens represent contractual or economic interests only and do not necessarily confer legal, beneficial, or equitable ownership of the relevant Underlying Asset. The rights attaching to any Token are strictly limited to those set out in the applicable Offering Documentation and smart contract terms.
8.3 Assetbase does not guarantee asset performance, income, liquidity, valuation, or marketability in respect of any Investment Product or Underlying Asset.
8.4 Investment Products are made available to Users who have created an Account and satisfied the applicable registration and verification requirements. Assetbase is continually improving its services and reserves the right to modify, suspend, or discontinue any Investment Product, feature, or part of the Platform, temporarily or permanently, with or without prior notice.

9. Risk Disclosures and No-Advice Statement

9.1 Participation in tokenised asset offerings and other Investment Products involves significant risks, including but not limited to: (a) market and valuation risk; (b) liquidity and exit risk; (c) regulatory and legal risk; (d) technology, blockchain, and smart contract risk; and (e) counterparty and operational risk.
9.2 Returns are not guaranteed, and Users may lose all invested capital. Past performance is not indicative of, and should not be construed as a guarantee of, future results.
9.3 Information and Content made available on the Platform is provided for general informational purposes only. Assetbase does not provide investment recommendations or investment advice. You are solely responsible for evaluating the merits and risks associated with any Investment Product or Content before making any decision, and you agree not to hold Assetbase or any Third-Party Provider liable for any claim or loss arising from any decision you make based on Content or other information made available through the Platform.

10. Token Offering Process

10.1 Token offerings on the Platform may be conducted through private placements, restricted offerings, pilot programmes, or other lawful distribution mechanisms permitted under Applicable Law.
10.2 Each Token offering shall be accompanied by specific Offering Documentation setting out, at a minimum, the nature of the Underlying Asset, token rights and limitations, pricing methodology, risk factors, use of proceeds, and any applicable restrictions.
10.3 Assetbase does not guarantee that any Token offering will be fully subscribed, completed, or remain available for participation, and may cancel, suspend, delay, or modify an offering where required by law, regulatory guidance, operational constraints, or risk management considerations.

11. Execution of Orders, Confirmations, and Corrections

11.1 Transactions in Investment Products on the Platform are executed by Rise Assets Global Limited or its financial partners. The decision to accept or reject any order is at the sole discretion of Assetbase and its financial partners, having regard to Applicable Law and the rules and conventions of the relevant financial market or infrastructure.
11.2 You acknowledge that, once submitted, an order may not be capable of cancellation or modification, and you remain responsible for executions notwithstanding any cancellation or modification request.
11.3 Investment orders accepted on the Platform are confirmed by a confirmation message, and rejected orders are notified by a rejection message. Confirmation or rejection messages may, however, be delayed for technical or operational reasons, and you are responsible for monitoring each order until Assetbase has confirmed its status.
11.4 You agree to notify Assetbase immediately (by telephone or electronically via the channels in Clause 30) if: (a) you fail to receive accurate information on an executed order; (b) you receive confirmation of an order you did not place; or (c) you receive an account statement, confirmation, or other information reflecting inaccurate orders, balances, positions, or transaction history.
11.5 You acknowledge that Assetbase may adjust your Account to correct any error, and you agree to promptly return to Assetbase any assets erroneously distributed to you.

12. Maturity, Pre-Liquidation, and Settlement

12.1 Each Investment Product offered on the Platform may carry a stated maturity date and terms (including interest, yield, or distribution arrangements), which you agree to before subscribing.
12.2 Sales proceeds from equity investments will be credited to your Account wallet. For products such as Treasury Bills, FGN Bonds, and Fixed Deposits, the principal and interest earned at maturity will be credited to your Account wallet, from which you may transfer funds to your verified bank account.
12.3 All bank charges or transfer charges applied during the remittance of funds to your bank account are borne solely by you.
12.4 Certain Investment Products may permit early termination (pre-liquidation) subject to a penalty. The extent of any such penalty depends on the nature of the relevant Investment Product, and pre-liquidation may only be requested at least sixty (60) days after the investment has been made, except where the Offering Documentation provides otherwise.
12.5 Transactions are subject to validation, processing, and settlement rules, which may involve blockchain confirmation times, third-party processing delays, or regulatory reporting obligations. Once executed or recorded on a blockchain, transactions may be irreversible, and Assetbase may be unable to reverse or amend completed transactions.

13. Pricing, Fees, and Charges

13.1 Use of the Platform may be subject to various fees, charges, and costs imposed by Assetbase and/or relevant Third-Party Providers, including without limitation platform usage fees, transaction fees, asset administration fees, custody-related fees, conversion fees, and withdrawal fees.
13.2 Applicable fees, pricing structures, and calculation methods shall be set out in the Fees and Charges Schedule and, where practicable, displayed to you before a transaction is committed.
13.3 Assetbase reserves the right to amend its fees in accordance with these Terms, and any such amendments shall take effect from the date of publication on the Platform or such later date as may be specified.

14. Wallets, Custody, and Platform Security

14.1 The Platform may support the use of user-controlled wallets, third-party custodial wallets, or other custody arrangements, depending on the nature of the relevant Token offering or Investment Product.
14.2 You remain solely responsible for the security of your Wallet credentials, private keys, PIN, password, authentication details, and Electronic Access Device, and you acknowledge that loss of such credentials may result in the irreversible loss of Tokens or other Investment Products.
14.3 Assetbase implements commercially reasonable administrative, technical, and organisational safeguards to protect the Platform but does not warrant that the Platform will be immune from cyberattacks, system failures, or unauthorised access. Assetbase shall take reasonable steps consistent with its legal duties to secure your Account and shall not be liable for security breaches occurring where it has complied with those obligations.

15. User Obligations and Prohibited Activities

15.1 You shall use the Platform strictly in accordance with these Terms and Applicable Law and shall act in good faith in all dealings on the Platform.
15.2 Without limiting the generality of Clause 15.1, you agree that you will not, and will not attempt to:
  1. engage in fraudulent conduct, market manipulation, money laundering, terrorist financing, misuse of Tokens, or circumvention of Platform controls;
  2. upload, post, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, hateful, racially or ethnically objectionable, or invasive of another person's privacy;
  3. harm minors in any way;
  4. impersonate any person or entity, including any Assetbase or Third-Party Provider manager, employee, agent, or representative, or falsely state or otherwise misrepresent your affiliation with any person or entity;
  5. forge headers or otherwise manipulate identifiers to disguise the origin of any material transmitted through the Platform;
  6. upload, post, or transmit any material that you do not have a right to transmit under any law or under any contractual or fiduciary relationship (including inside information or confidential information disclosed under employment relationships or non-disclosure agreements);
  7. upload, post, or transmit any material that infringes any patent, trademark, trade secret, copyright, right of privacy or publicity, or other proprietary right of any party;
  8. send unsolicited commercial communications or “SPAM”, or engage in any unethical marketing or advertising activity in connection with the Platform;
  9. upload, post, or transmit any material containing software viruses, worms, trojans, or other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
  10. interfere with or disrupt the Platform, or any servers or networks connected to the Platform, or disobey any requirements, procedures, policies, or regulations of connected networks;
  11. violate any Applicable Law, including regulations of the Nigerian Securities and Exchange Commission, the rules of any securities exchange, or any other regulations having the force of law;
  12. stalk, harass, or otherwise misuse the contact details of, any other User;
  13. collect, store, or process personal data about other Users of the Platform;
  14. promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty;
  15. promote, offer for sale, or sell any security, item, good, or service that violates any Applicable Law, that you do not have full authority to offer (including all necessary licences and authorisations), or that Assetbase or any Third-Party Provider determines, in its sole discretion, is inappropriate for sale on the Platform;
  16. use any forum or communication feature of the Platform as a forwarding service to another website; or
  17. access or otherwise use the Platform in any unlawful manner, for any unlawful purpose, or in violation of these Terms.
15.3 Assetbase reserves the right at all times to monitor, review, retain, and/or disclose any information as necessary to satisfy Applicable Law, regulation, sanctions programmes, legal process, or governmental request. Assetbase may investigate suspected violations and take appropriate enforcement actions, including suspension or cancellation of Accounts, blocking of transactions, freezing of funds, and reporting to regulators or law enforcement agencies, immediately and without notice where permitted by law.

16. Platform Availability and Maintenance

16.1 Assetbase invests significant resources into building, testing, and maintaining the Platform. However, glitches, slowdowns, and outages may occur, and Assetbase may restrict access to parts of the Platform from time to time to perform routine or emergency maintenance.
16.2 While Assetbase intends the Platform to be available seven days a week, save during scheduled or emergency maintenance, Assetbase does not guarantee uninterrupted availability of the Platform.
16.3 Assetbase may impose transaction limits, minimum thresholds, cooling-off periods, or settlement delays to comply with Applicable Law or internal risk controls.

17. Intellectual Property Rights

17.1 All intellectual property rights in and to the Platform, including software, databases, trademarks, logos, designs, and Content, are owned by or licensed to Assetbase.
17.2 You are granted a limited, revocable, non-exclusive, non-transferable right to access and use the Platform solely for lawful purposes in accordance with these Terms.
17.3 You shall not copy, modify, reverse engineer, distribute, publicly display, create derivative works of, or otherwise exploit any part of the Platform without Assetbase's prior written consent.

18. Data Protection and Privacy

18.1 Assetbase collects, processes, stores, and shares personal data in accordance with the Nigeria Data Protection Act and its Privacy Policy, as published on the Platform.
18.2 Personal data may be processed for purposes including account administration, regulatory compliance, risk management, fraud prevention, complaints handling, and service improvement.
18.3 You acknowledge that data may be shared with regulators, auditors, law enforcement agencies, or Third-Party Providers where required by Applicable Law, necessary for Platform operations, or required to assist in the prevention or detection of fraud or other criminal activities.
18.4 You authorise Assetbase, directly or through Third-Party Providers, to make such inquiries as Assetbase considers necessary to conduct business with you, including verifying the information you provide against third-party databases.

19. Third-Party Service Providers

19.1 The Platform may integrate or make available services provided by Third-Party Providers, including payment processors, custodians, blockchain infrastructure providers, identity verification services, analytics providers, and financial partners.
19.2 Where you elect to use Third-Party Provider services (for example, to access additional services such as the purchase and sale of publicly traded securities), you may be required to enter into separate agreements with the relevant Third-Party Provider, including any customer, service, or account agreements.
19.3 Assetbase does not make any representation as to the expertise or qualification of any Third-Party Provider, does not control the performance, availability, or acts or omissions of Third-Party Providers, and shall not be liable for any matter arising in connection with your engagement, arrangement, or agreement with any Third-Party Provider.

20. Conflicts of Interest and Insider Dealing

20.1 Executives, directors, officers, employees, and other insiders of any company whose securities or Tokens are offered or traded on the Platform shall comply with such company's insider trading policy and with the Investments and Securities Act, the rules of the Nigerian Securities and Exchange Commission, and any other Applicable Law, including those relating to non-disclosure of material non-public information, insider dealing, and reporting requirements.
20.2 Such persons shall specifically abstain from discussing the non-public aspects of the relevant company's business affairs with any individual or group, and shall notify the relevant company's compliance officer or chief financial officer (in accordance with that company's insider trading policy) prior to the acquisition or disposition of such company's securities or Tokens through the Platform.

21. Suspension, Restriction, and Termination

21.1 Assetbase may suspend, restrict, or terminate a User's Account, access, or transactions where required for compliance with Applicable Law, regulatory directives, security concerns, or in the event of a breach of these Terms.
21.2 Assetbase may take such actions with or without prior notice, where permitted by law, and shall not be liable for losses arising from such actions.
21.3 Upon termination, outstanding obligations, indemnities, and accrued rights shall survive.

22. Disclaimers and Warranties

22.1 The Platform and all services are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied.
22.2 Assetbase does not warrant the accuracy, completeness, or reliability of any information relating to Tokens, Investment Products, or Underlying Assets, including any Third-Party Provider content.
22.3 Assetbase reserves the right to restrict or terminate your access to the Platform or any feature thereof at any time. If you download the Assetbase mobile application or any Content from the Platform, you do so at your own discretion and risk, and you will be solely responsible for any damage to your Electronic Access Device or loss of data that results from any such download.

23. Limitation of Liability

23.1 To the maximum extent permitted by Applicable Law, Assetbase and its Third-Party Providers shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, revenue, income, goodwill, use, data, or other intangible losses, arising from or in connection with:
  1. the use of or inability to use the Platform, Content, or any service;
  2. the cost of procurement of substitute goods or services resulting from any goods, data, information, or services purchased or obtained, or messages received or transactions entered into, through or from the Platform;
  3. access to or alteration of your Account, transmissions, or data due to your conduct, inaction, or negligence; or
  4. any other matter relating to the Platform, Content, or services.
23.2 Assetbase shall not be liable to you or any third party for any loss resulting from a cause over which it does not have direct control, including failure of electronic or mechanical equipment or communications lines (including telephone, cable, and internet), unauthorised access, viruses, theft, operator errors, severe or extraordinary weather (including flood, earthquake, or other act of God), fire, war, insurrection, terrorist act, riot, labour dispute, accident, emergency, or action of government.
23.3 Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited under Applicable Law.

24. Indemnities

24.1 You agree to indemnify, defend, and hold harmless Assetbase, its directors, officers, employees, agents, and partners from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from or in connection with your breach of these Terms or Applicable Law.
24.2 This indemnity includes, without limitation, claims arising from your misuse of the Platform, violation of any third-party right, or any regulatory breach attributable to you.
24.3 The indemnity obligations under this Clause 24 shall survive termination of these Terms.

25. Complaints Handling and Customer Support

25.1 Assetbase maintains internal procedures for receiving, reviewing, and resolving User complaints in a fair and timely manner.
25.2 Complaints, enquiries, or support requests may be submitted via [email protected], and you may be required to provide relevant details to facilitate resolution.
25.3 Assetbase may escalate unresolved complaints to senior management or regulatory bodies where required under Applicable Law.

26. Force Majeure

26.1 Assetbase shall not be liable for any delay, failure, interruption, or inability to perform its obligations under these Terms where such delay or failure results from events or circumstances beyond its reasonable control.
26.2 Force majeure events include, without limitation, acts of God, natural disasters, epidemics or pandemics, acts of government or regulatory authorities, changes in law or regulation, court orders, labour disputes, civil unrest, war, terrorism, power outages, failures of telecommunications or internet infrastructure, blockchain network disruptions, and failures of Third-Party Providers.
26.3 Where a force majeure event occurs, Assetbase shall use reasonable efforts to mitigate the impact of the event and to resume performance as soon as reasonably practicable, provided that no liability shall arise during the continuance of such event.

27. Amendments to the Terms

27.1 Assetbase reserves the right to amend, update, or replace these Terms from time to time to reflect changes in law, regulation, business operations, risk management practices, or Platform functionality.
27.2 Updated Terms shall be published on the Platform and shall take effect from the date of publication or such later date as may be specified.
27.3 Your continued access to or use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms. You are responsible for reviewing updates periodically.

28. Governing Law and Dispute Resolution

28.1 These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
28.2 Any dispute, controversy, or claim arising out of or in connection with these Terms, the Platform, or any Token or Investment Product offering, including any question regarding their existence, validity, interpretation, performance, or termination, shall be referred to and finally resolved by arbitration.
28.3 The arbitration shall be conducted in accordance with the Arbitration and Mediation Act 2023, seated in Lagos, Nigeria, before a single arbitrator, and the proceedings shall be conducted in the English language.
28.4 The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
28.5 Nothing in this Clause 28 shall prevent Assetbase from seeking interim, injunctive, or equitable relief from a court of competent jurisdiction where necessary to protect its rights or to comply with regulatory or statutory obligations.

29. Miscellaneous Provisions

29.1 These Terms constitute the entire agreement between you and Assetbase with respect to the subject matter herein and supersede all prior agreements, understandings, representations, or warranties.
29.2 You agree that these Terms are provided in the English language and confirm that you understand their terms and conditions.
29.3 You consent to the recording of all your telephone conversations with Assetbase for quality assurance, training, regulatory, and dispute-resolution purposes.
29.4 Any waiver of a breach of these Terms shall not constitute a waiver of any subsequent breach, and no waiver shall be effective unless made in writing.
29.5 You may not assign or transfer your rights or obligations under these Terms without Assetbase's prior written consent. Assetbase may assign its rights and obligations in connection with a corporate restructuring, merger, or sale of assets.
29.6 If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, the remaining provisions shall remain in full force and effect.
29.7 Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, or fiduciary relationship between you and Assetbase.
